Triarc Buys Wendy’s for $2.3 Billion

Wendy’s International Inc. signed a $2.3 billion merger agreement with Atlanta-based Triarc Cos. Inc., the franchisor of the Arby’s restaurant system. The transaction brings together two leading quick-service brands to create a combined system of approximately 10,000 restaurant units with annual sales of about $12.5 billion.

The new company expects to pursue day part expansion, primarily focused on breakfast, global expansion for both brands, and growth through future acquisitions and new unit development. A consolidated support center, which will be based in Atlanta, will oversee all public company responsibilities and other central service functions. The transaction requires the approval of Triarc and Wendy’s shareholders, and is subject to other, regulatory approvals and customary closing conditions.
